Fleet Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VendIT Fleet (the “App”) and the related backend services (together, the “Service”) provided by Vendit Store (“VendIT”, “we”, “us”, “our”).

The App is an internal workforce tool for VendIT personnel only. By logging in to the App, you confirm that you have been issued an account by VendIT and that you accept these Terms. If you do not agree, do not log in and uninstall the App.

1. Eligibility and accounts

1.1 The App is for internal use only. There is no self registration. You may use the App only if VendIT has issued you a username and password and you remain authorised to do so.

1.2 You must be at least 18 years old.

1.3 You are responsible for keeping your credentials confidential, for all activity under your account, and for promptly reporting suspected unauthorised access to hello@tryvendit.com.

1.4 We may require you to change your password on first login and at other times for security reasons. Account creation, password resets, and revocation are handled by VendIT administrators.

1.5 Sharing your account, lending your device while logged in, or allowing another person to operate the App under your identity is strictly prohibited.

2. Licence to use the App

2.1 Subject to these Terms, VendIT grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on a mobile device that you own or are issued, solely for the performance of your work duties for VendIT.

2.2 You may not:

copy, modify, translate, adapt, or create derivative works of the App;
reverse-engineer, decompile, disassemble, or attempt to derive source code, except to the extent that applicable law expressly permits;
rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or your account;
remove or obscure proprietary notices;
use the App in connection with any service that competes with VendIT;
use automated means (bots, scrapers, scripts) to access or interact with the Service;
attempt to gain unauthorised access to the Service, other accounts, or related systems, or interfere with their operation;
use the App to upload, transmit, or generate content that is unlawful, infringing, abusive, defamatory, or that contains malware.

3. Acceptable use in the field

3.1 You will use the App only as instructed by VendIT and only for legitimate operational purposes (route execution, refill, collection, servicing, reporting, and related workflow).

3.2 Safety first. You must not interact with the App while operating a vehicle, machinery, or in any way that endangers yourself or others. Always comply with traffic laws and VendIT's safety policies. Park safely before entering data, capturing photos, or reading the screen.

3.3 You will record information accurately and in good faith. Falsifying arrival times, refill quantities, photos, or other operational data is a material breach of these Terms and may result in termination of access and disciplinary or legal action.

3.4 You are responsible for the lawful handling of any personal data of third parties (for example, customers or store staff) that you may incidentally observe or capture. Do not use the App's camera to record identifiable individuals unless authorised and necessary.

4. Location, camera, and other device permissions

4.1 The App requires precise location (including, where available, background location while a shift is active), camera access, notifications, and storage in the App sandbox. See the Privacy Policy for full details.

4.2 By enabling these permissions you consent to the corresponding processing activities described in the Privacy Policy. You may revoke permissions at any time in your device settings; doing so may prevent the App from functioning correctly and may affect your ability to perform certain duties.

5. Connectivity and offline mode

5.1 The App is designed to work offline. Actions you record while offline are queued locally and synchronised when connectivity is restored.

5.2 The official record of an action is the version that has been accepted by the server. Until then, queued actions are tentative and may fail (for example, due to validation errors, contract changes, or conflict resolution). You are responsible for monitoring the in-app sync status and resolving any queued items that the server rejects.

5.3 We are not liable for delays caused by lack of connectivity, device failure, OS background-task limits, or your revocation of permissions.

6. Updates and availability

6.1 We may release updates, patches, and new versions of the App, and may require you to install them in order to continue using the Service. Older versions may stop working without notice when superseded.

6.2 The Service is provided on an “as available” basis. We do not guarantee uninterrupted availability and may suspend the Service for maintenance, security, or operational reasons.

7. Intellectual property

7.1 The App, the Service, and all associated content, designs, trademarks, logos, and software are owned by VendIT or its licensors and are protected by intellectual-property laws. No rights are granted to you except as expressly set out in these Terms.

7.2 Operational data you record through the App belongs to VendIT. You grant VendIT a perpetual, worldwide, royalty-free licence to process that data for any lawful purpose connected to its business, in line with the Privacy Policy.

8. Confidentiality

The App gives you access to confidential information of VendIT (route plans, inventory, pricing, machine locations, customer contacts, system behaviour, etc.). You must keep this information confidential, use it only to perform your duties for VendIT, and not disclose it to anyone outside of your authorised work context, both during and after your access to the App.

9. Suspension and termination

9.1 VendIT may suspend or terminate your access to the App at any time, with or without notice, including (without limitation) if your engagement with VendIT ends, if eligibility checks fail, if you breach these Terms, if we suspect fraud or unauthorised access, or if required by law.

9.2 On termination, your licence to use the App ends immediately. You must stop using the App and uninstall it from your device(s). Sections that by their nature should survive (intellectual property, confidentiality, disclaimers, limitation of liability, governing law) will survive termination.

10. Disclaimers

10.1 To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

10.2 Maps, routes, and travel times shown in the App are estimates. You remain solely responsible for safe and lawful navigation.

11. Limitation of liability

11.1 To the maximum extent permitted by law, VendIT and its affiliates, officers, employees, agents, and licensors will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of or inability to use the App, even if advised of the possibility of such damages.

11.2 Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or for death or personal injury caused by negligence) or any rights you may have under your contract or employment terms with VendIT.

12. Indemnity

You will indemnify and hold harmless VendIT and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use of the App in breach of these Terms or applicable law, (b) your falsification of records, or (c) your unauthorised disclosure of confidential information.

13. Third-party services

The App relies on third-party platforms and services (for example, Apple App Store, Google Play, Google Maps, push-notification gateways, cloud hosting). Your use of those services is also governed by their own terms and privacy policies. VendIT is not responsible for third-party services.

13.1 App Store / Google Play notice

You acknowledge that these Terms are between you and VendIT, not Apple or Google, and that VendIT (not Apple or Google) is solely responsible for the App and its content. Apple and Google have no obligation to provide maintenance or support for the App. If the App fails to conform to any applicable warranty that cannot be disclaimed, you may notify the respective store and the store will refund the purchase price (if any); to the maximum extent permitted by law, neither store will have any other warranty obligation. Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.

14. Changes to these Terms

We may modify these Terms from time to time. Material changes will be communicated through the App or by email at least 14 days before they take effect. Continued use of the App after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of Kuwait, without regard to conflict-of-laws rules. The courts of Kuwait City, Kuwait will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that we may seek injunctive relief in any competent court to protect our intellectual property or confidential information.

16. Miscellaneous

Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and VendIT regarding the App, superseding any prior or contemporaneous agreements on the same subject.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No waiver. Failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction.
Notices. We may give notices via the App, email, or by posting on https://tryvendit.com.
